Omio Group, the Berlin-based multimodal travel platform, has signed an agreement to acquire Rail Europe, the global rail distribution specialist. The deal, pending consultation with France's Comité Social et Économique (CSE), would create a dominant force in ground transportation distribution.
Scale and Synergy
Upon completion, the combined group will sell more than 22 million train tickets each year, collaborate with over 28,000 transport operators and travel sellers, and offer what executives describe as the world's most comprehensive ground transportation proposition. Omio's existing portfolio includes its flagship B2C booking platform, a B2B distribution business, and the travel discovery brand Rome2Rio.
Rail Europe will retain its brand identity and continue serving its B2B partners and consumers across more than 70 countries. However, it will gain access to Omio's technology stack, platform capabilities, and multimodal inventory. The acquisition brings over 90 years of rail expertise and a respected international consumer brand into Omio's fold.
The consolidation comes as the global rail market is projected to surpass $300 billion by 2032, driven by environmental initiatives and government infrastructure investments. Travelers are increasingly shifting from road and air to rail, a trend that has accelerated in markets like Europe and Asia.
Industry Reaction
Jean-Francois Bessiron, Omio Group's chief B2B officer, called the deal a transformative moment for ground transport. "This deal marks a transformative moment for the future of global ground transport. Omio and Rail Europe would give the industry a player with the technology and scale to make connected, accessible, and affordable train travel a reality for all. The sector has been constrained by outdated systems and controlled by dominant players for far too long," he said.
Björn Bender, executive chairman and CEO of Rail Europe, emphasized the natural fit. "The past few years have been transformational for Rail Europe. With our teams and partners, we built an independent business and a unique position in the global rail industry. For the next chapter, Omio and Rail Europe are a natural fit. Omio brings significant scale and transformative technology. Rail Europe adds considerable rail experience, a trusted international consumer brand, and the strongest B2B distribution network. Together, we would offer more to our travellers, partners and the rail industry than either company could achieve on its own," Bender stated.
The deal is subject to a consultation process with France's CSE, which will issue an advisory opinion. Completion will proceed only after this standard regulatory step is concluded.
For travel professionals, the merger signals a shift in ground transportation distribution. Omio's technology could modernize Rail Europe's legacy systems, while Rail Europe's global B2B network opens new distribution channels for Omio. The combined entity will compete directly with traditional rail booking platforms and may influence how airlines, hoteliers, and tour operators integrate rail into their offerings.
This consolidation mirrors broader trends in travel technology, where scale and multimodal integration are becoming critical. As the industry recovers from the pandemic, ground transportation is seeing increased investment and innovation. The Omio-Rail Europe deal is likely to accelerate the shift toward seamless, connected travel experiences.
